Terms of Service
1What this service is
The Gaihare service is provided by Zemma group LLC, identification number 402270341, registered in Georgia (“we”).
Gaihare shows offers from partner brands to a person right after a purchase. The main placement is the thank-you page of an online shop; the same offer may also appear in the order email, in a newsletter, in a channel, or on any other site connected to the service. The site earns a reward when someone clicks through to a brand; the brand reaches someone who has just completed an online purchase.
The service takes no part in the purchase itself: the cart, checkout, payment and the shop’s prices are untouched.
2Who can join
A site — any resource where we can display an offer and track a click-through: an online shop with a post-payment page, an order email, a newsletter, a channel, an app, a website or a community with an audience of its own. The placement method depends on the site: a line of code, a ready-made block, a standalone link or a banner.
Brands — a company or its affiliate programme willing to provide an offer to the audiences of our sites.
Onboarding starts with a request and is confirmed on our side. We may decline without stating a reason — in particular where a site’s content conflicts with Georgian law or with affiliate network rules.
3What the site does
Places the issued code, block or link in the agreed position and does not alter its content.
Does not induce click-throughs artificially: no rewards promised for clicking, no placement outside the agreed position, no exposure to bots or to staff for the purpose of inflating numbers.
Tells us if the placement interferes with its own operation, instead of modifying the code.
4What Gaihare does
Selects offers by the shop’s language and category, serves the showcase and counts click-throughs.
Tags every click-through with its own identifier (subid) and accepts postbacks from affiliate networks — for the click-through or the conversion, depending on the brand’s payment model.
Filters out repeated and automated clicks. Anti-fraud rules are not published in full — publishing them makes circumvention a matter of technique.
Shows the shop the same numbers we use ourselves.
5Where a brand’s offer is placed
An offer provided by a brand may be placed on any site connected to the service, provided this does not conflict with limits agreed with that brand.
A brand may name in advance the sites or types of site where placement is unwanted, and the categories it does not want to appear next to. Such a limit is recorded in writing and is respected.
Where the offer was actually shown is visible to the brand in its dashboard, site by site.
6What is not allowed
Inflating impressions or clicks by any means, including automation, paying third parties per click, and clicks from your own devices.
Substituting, copying or embedding the showcase in ways the issued code does not provide for.
Presenting a brand’s offer as your own or altering its terms.
A breach is grounds to disable the site immediately and to withhold payment for disputed click-throughs.
7Disconnecting
A shop may disconnect at any time by removing the line of code. Impressions stop at once; amounts accrued for confirmed click-throughs remain payable.
We may suspend a site on suspicion of inflation, on an affiliate network complaint, or on breach of these terms. We state the reason.
8Liability
The service is provided as is. We work to keep the showcase running, but do not guarantee uninterrupted operation: part of it depends on hosting, affiliate networks and the brands themselves.
Goods, services, promo codes and their terms are the brand’s responsibility, not Gaihare’s. We pass on an offer and a click-through; we do not sell the product.
We are not liable for lost profit or for decisions made on the basis of forecast figures in the dashboard: a forecast is an estimate, not a commitment.
9Changes
These terms may change. Material changes — those affecting how amounts accrue or how a site may be disabled — take effect 14 days after publication, and we notify connected sites.
The date of the last change is shown at the top of the document.
10Law and disputes
Georgian law applies. A dispute is first addressed in correspondence: both sides hold the same data, and most disagreements close on reconciliation.
